1. Acceptance of Terms

These Terms of Service ("Terms") constitute a binding agreement between you ("Customer," "you," or "your") and SUPPLIQ SOFTWARE DEVELOPMENT SERVICES, trading as Suppliq ("Suppliq," "we," "us," or "our") governing your access to and use of the Suppliq platform, including the website, web application, mobile application, application programming interfaces, and related services (collectively, the "Service").

By registering for an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Refund and Cancellation Policy, and our Data Processing Agreement, each of which is incorporated into these Terms by reference. If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

If you do not agree to these Terms, you must not access or use the Service.

2. Definitions

  • "Account" means the Suppliq account registered by the Customer.
  • "Account Data" means information about you as our customer — the account holder's name, email address, contact number, business details, and billing records.
  • "Customer Data" means any data, content, or information that the Customer or its Users submit to, store on, or transmit through the Service, including inventory records, sales transactions, customer information, and employee data.
  • "Merchant Data" means the subset of Customer Data that constitutes personal data about individuals other than you — your employees and your own customers. Its treatment is governed by the Data Processing Agreement.
  • "Subscription" means the paid or unpaid tier of Service selected by the Customer.
  • "User" means any individual authorized by the Customer to access and use the Service under the Customer's Account, including owners, administrators, managers, and staff.

3. Eligibility and Account Registration

To use the Service, you must be at least 18 years of age and capable of entering into a legally binding contract under Philippine law. You agree to provide accurate, current, and complete information during registration and to keep such information updated.

You are solely responsible for safeguarding your account credentials and for all activity that occurs under your Account. You must notify us immediately at support@suppliq.app of any unauthorized use or suspected breach of security. We are not liable for any loss or damage arising from your failure to maintain the confidentiality of your credentials.

4. Subscriptions, Automatic Renewal and Billing

The Service is offered in multiple Subscription tiers, each with specific features, usage limits, and pricing as described on our pricing page. All fees are quoted and payable in Philippine Pesos (PHP) and are exclusive of applicable taxes unless stated otherwise.

4.1 Automatic Renewal

Subscriptions renew automatically until you cancel. When you subscribe, you authorise Suppliq and our payment processor to charge your selected payment method the then-current fee for your plan at the start of each renewal period, on a recurring basis, until you cancel.

Before you enable automatic renewal we will show you the exact amount to be charged and the billing interval, and you must give your express consent. We will send you a confirmation of your subscription terms by email at enrollment, including how to cancel.

4.2 Billing Interval and Timing

  • Monthly plans renew every month on the anniversary of your activation date.
  • Annual plans renew every twelve (12) months on the anniversary of your activation date.
  • Where automatic renewal is enabled, the renewal charge is initiated three (3) days before the end of your current period, so that a failed payment can be retried before your access lapses.

4.3 Advance Notice of Renewal

For annual Subscriptions we will send you an electronic reminder at least seven (7) days before each renewal charge, stating the amount, the date it will be charged, and how to cancel if you no longer want it.

For monthly Subscriptions, where the interval is short and the amount is unchanged, we notify you of the upcoming renewal at least three (3) days in advance.

4.4 How to Cancel

You can turn off automatic renewal at any time, without contacting us, from Settings → Billing inside the Service. Cancellation takes effect at the end of your current paid period; you keep access until then and are not charged again.

We will send you confirmation of the cancellation by email within seven (7) days. You may also cancel by emailing billing@suppliq.app. Full details, including refund eligibility, are in our Refund and Cancellation Policy.

4.5 Price Changes

We may change Subscription pricing. Where a change affects a Subscription that renews automatically, we will give you at least thirty (30) days' notice by email before the new price takes effect, so that you can cancel beforehand if you do not accept it. Continuing the Subscription past the effective date constitutes acceptance of the new price.

4.6 Failed Payments

If a renewal payment fails, we will notify you and may retry the charge. If payment remains unresolved after our retry attempts, automatic renewal is suspended and your Subscription may be downgraded to the Free tier, with access to paid features restricted until payment is resolved. Your data is retained in accordance with Section 8.

5. Free Plan and Trials

We may offer a Free plan with limited functionality and usage caps, and may grant complimentary trial Subscriptions with full or partial feature access for a limited duration.

Trials do not convert into a paid Subscription and never result in an automatic charge. No payment method is required to start a trial. When a trial expires, the Account reverts automatically to the Free plan, and you keep access to your data under the Free plan's limits. If you want to continue on a paid tier, you must actively choose and pay for one.

Suppliq reserves the right to modify or terminate Free and trial offerings at any time, and to limit trials to one per customer.

6. Payment Methods and Processing

Suppliq accepts payment by credit and debit card (Visa, Mastercard), GCash, and Maya. Card and e-wallet payments are processed by PayMongo Philippines, Inc., our authorised payment processor, and are subject to PayMongo's own terms.

Suppliq does not receive, process, or store your full card number, expiry date, or security code. Card details are captured and stored by PayMongo. Where you enable automatic renewal by card, PayMongo retains the payment credential and charges it on our instruction; we retain only a token and the last digits needed to identify the card to you.

By submitting a payment, you represent that you are the rightful holder or authorised user of the payment method and that the information you provide is accurate.

Refunds, credits, and billing disputes are governed by our Refund and Cancellation Policy.

7. Acceptable Use

You agree not to, and will not permit any User to:

  • Use the Service for any unlawful purpose or in violation of applicable laws, including tax, labor, and consumer protection laws of the Philippines;
  • Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service;
  • Interfere with, disrupt, or overload the Service, including by introducing viruses, malware, or any other malicious code;
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service;
  • Resell, sublicense, or provide access to the Service to unauthorized third parties;
  • Use automated means (including scraping, bots, or crawlers) to access the Service except through features we expressly authorize;
  • Transmit fraudulent, defamatory, obscene, or otherwise objectionable content through the Service.

Where a breach of this section is capable of being remedied and does not present an immediate risk to the Service, other customers, or any person, we will notify you and give you seven (7) days to remedy it before suspending or terminating your Account. Where the breach is not capable of remedy, is repeated, or presents an immediate risk — including unlawful use, security attacks, or fraudulent activity — we may suspend or terminate immediately and without refund.

8. Customer Data, Ownership and Data Protection

You retain all rights, title, and interest in and to Customer Data. You grant Suppliq a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Customer Data solely to the extent necessary to provide the Service, to maintain and improve the Service, and to comply with legal obligations. We do not sell Customer Data, and we do not use Merchant Data to train artificial-intelligence models.

Roles under the Data Privacy Act. Where Customer Data includes personal data about your employees or your own customers ("Merchant Data"), you are the Personal Information Controller and Suppliq is the Personal Information Processor acting on your instructions. You decide what personal data to collect and why; accordingly, you are responsible for having a lawful basis, for giving the required privacy notice to those individuals, and for obtaining consent where consent is the basis you rely on — including for attendance photographs. These responsibilities are set out in full in our Data Processing Agreement.

You represent that you have obtained all necessary rights and consents to submit Customer Data to the Service, as required under the Data Privacy Act of 2012 (Republic Act No. 10173) and its Implementing Rules and Regulations.

Data Export: During an active Subscription, you may export your Customer Data at any time using the Service's export features.

What happens to your data:

  • If your Subscription ends or lapses — your Customer Data is preserved. Your Account reverts to the Free tier and its limits apply, but nothing is deleted.
  • If you delete your Account — deletion is immediate and permanent. Your data is removed from our production systems straight away and cannot be recovered. Residual copies in encrypted infrastructure backups are purged within thirty (30) days. Export anything you need before you delete.
  • If we suspend or terminate your Account under Section 7 — your data is retained under the same rules, and you may request an export by contacting us.

9. Intellectual Property

The Service, including all software, designs, text, graphics, logos, and trademarks, is the exclusive property of Suppliq and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. No rights are granted by implication, estoppel, or otherwise. All rights not expressly granted are reserved.

10. Service Availability and Maintenance

We strive to keep the Service available continuously but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, updates, or events beyond our reasonable control. Where feasible, we will provide advance notice of scheduled maintenance through the Service or via email. Service credits for extended outages are addressed in our Refund and Cancellation Policy.

11. Modifications to the Service

We may, in our sole discretion, add, modify, or remove features of the Service. We will use commercially reasonable efforts to provide notice of material changes that adversely affect Customer use of the Service. Continued use of the Service following such changes constitutes acceptance.

12. Third-Party Integrations

The Service may integrate with or provide links to third-party services (including payment processors, messaging platforms, and analytics providers). Your use of such third-party services is governed by the respective third party's terms and privacy policies. Suppliq is not responsible for the content, accuracy, or practices of any third-party service. The third parties that process data on our behalf are listed in our Privacy Policy and Data Processing Agreement.

13. Tax, BIR and Regulatory Compliance

Suppliq is a software tool. It is not a tax adviser, accountant, or regulatory consultant, and it does not provide tax advice.

The Service can generate sales invoices, receipts, X-readings, Z-readings, and books-of-accounts exports in formats intended to assist with Bureau of Internal Revenue ("BIR") requirements. Those outputs are aids. You remain solely responsible for:

  • Registering your business and each point-of-sale machine with the BIR, and obtaining any Permit to Use, Machine Identification Number, or other authority required for your operations;
  • The accuracy, completeness and timeliness of every return, declaration, and book of accounts you file;
  • Configuring the Service correctly for your registration status, including your TIN, permit numbers, VAT or non-VAT status, and the tax classification of each item you sell;
  • Reviewing and verifying any output before you submit it, print it, or rely on it.

Accreditation status. Suppliq has not yet been issued a Certificate of Accreditation by the BIR under Revenue Memorandum Order No. 24-2023. The Service is built to produce output in accredited format, and we describe it as BIR-ready; we do not represent that it is BIR-accredited, and no accreditation number is printed on any document we generate. If your business is required to use accredited software, you must satisfy yourself as to your own compliance position. We will update this section if and when accreditation is issued.

To the fullest extent permitted by law, Suppliq is not liable for any assessment, penalty, surcharge, interest, or compromise imposed on you by the BIR or any other authority.

14. Payroll, Attendance and Labour Compliance

The Service can compute working hours, overtime, night-shift differential, holiday and rest-day premiums, government contributions, deductions, and payslips.

These computations are aids, not legal or accounting advice, and they depend entirely on the settings, rates, schedules and attendance records you enter. You are the employer of record for your staff. You remain solely responsible for compliance with the Labor Code of the Philippines, the issuances of the Department of Labor and Employment, and the requirements of SSS, PhilHealth, Pag-IBIG and the BIR, including the correctness of every amount paid or withheld.

You must verify computed figures before disbursing pay or filing a contribution. To the fullest extent permitted by law, Suppliq is not liable for any underpayment, overpayment, penalty, or labour claim arising from your use of these features.

15. Artificial Intelligence Features

The Service includes features that generate text using third-party artificial-intelligence models, including AI Business Insights, AI Network Insights, and the AI Help assistant.

Output from these features is informational only. It may be inaccurate, incomplete, or out of date, and it does not constitute professional, financial, accounting, legal, or tax advice. AI output is generated from patterns in your data and does not represent a recommendation by Suppliq. You are responsible for verifying any output before acting on it, and for any decision you make in reliance on it.

We do not use Merchant Data to train artificial-intelligence models. Details of what is sent to our AI sub-processor are in our Privacy Policy.

16. Data Backup and Retention Responsibility

We maintain backups of platform data as part of our infrastructure, and we take reasonable measures to protect against loss. Those backups exist to allow us to restore the Service; they are not a substitute for your own records.

You are responsible for maintaining your own copies of business records you are legally required to keep, including records the BIR requires you to preserve. The Service provides export features for this purpose, and we recommend exporting regularly and before any account change, downgrade, or closure. To the fullest extent permitted by law, we are not liable for loss of data you could reasonably have preserved by using those export features.

17. Termination

You may terminate your Account at any time by using the account deletion feature in the Service or by contacting support@suppliq.app. We may suspend or terminate your Account in accordance with Section 7, if we are required to do so by law, or if we reasonably determine that your use poses a security risk or harms other users or our infrastructure.

Upon termination, your right to use the Service ceases immediately. Sections 8, 9, 13, 14, 15, 16, 18, 19, 20, and 22 survive termination.

18. Disclaimer of Warranties

Subject to Section 19.2, the Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. Suppliq disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any defects will be corrected.

19. Limitation of Liability

19.1 To the fullest extent permitted by applicable law, Suppliq and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Subject to Section 19.2, our aggregate liability for all claims relating to the Service shall not exceed the total fees paid by you to Suppliq in the six (6) months immediately preceding the event giving rise to the claim, or five thousand Philippine Pesos (PHP 5,000), whichever is greater.

19.2 Exceptions. Nothing in these Terms excludes or limits our liability for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, for death or personal injury caused by our negligence, or for any other liability that cannot lawfully be excluded or limited. Where any exclusion or limitation in these Terms is held unenforceable, it shall apply to the maximum extent permitted by law and the remainder of these Terms shall continue in full force.

COUNSEL: please confirm (a) the enforceability of the cap in 19.1 against a business customer under Philippine law, and whether the stated amount is defensible given a customer paying PHP 2,499/month has roughly PHP 15,000 of covered exposure; and (b) that the 19.2 carve-out is drafted consistently with Civil Code Art. 1171, under which a waiver of an action for future fraud is void.

20. Indemnification

You agree to defend, indemnify, and hold harmless Suppliq, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) Customer Data, including any claim that your collection or use of Merchant Data lacked a lawful basis or required consent you did not obtain, (c) your violation of these Terms, or (d) your violation of any rights of a third party.

21. Force Majeure

Neither party is liable for any failure or delay in performing its obligations (other than an obligation to pay money already due) to the extent caused by an event beyond its reasonable control, including acts of God, typhoon, flood, earthquake, fire, epidemic or pandemic, war, civil unrest, terrorism, strike, governmental action, power failure, telecommunications or internet failure, or the failure of a third-party infrastructure or payment provider. The affected party will notify the other as soon as reasonably practicable and use reasonable efforts to resume performance.

22. Complaints, Dispute Resolution and Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict-of-law principles.

If you have a complaint or dispute, the following process applies before either party commences proceedings:

  1. Raise it with us. Contact billing@suppliq.app for billing matters or support@suppliq.app for service matters, describing the issue and the outcome you seek.
  2. Acknowledgement. We will acknowledge within 1 business day.
  3. Response. We aim to resolve straightforward matters within seven (7) business days, and will provide a substantive written response within fifteen (15) business days.
  4. Escalation. If you are not satisfied, you may ask for the matter to be escalated to the business owner for personal review.
  5. Good-faith negotiation. If the dispute remains unresolved, the parties will attempt in good faith to settle it for a period of thirty (30) days.
  6. Proceedings. If not resolved within that period, the dispute shall be submitted to the exclusive jurisdiction of the competent courts of Metro Manila, Philippines.

Nothing in this section prevents you from referring a consumer or electronic-commerce complaint to the Department of Trade and Industry, or a data-privacy complaint to the National Privacy Commission at privacy.gov.ph, at any time. The full process is also published on our Contact page.

COUNSEL: please confirm the exclusive-venue clause is enforceable against a customer domiciled outside Metro Manila, and whether any of our customers who are sole proprietors could invoke consumer-protection provisions under RA 7394 notwithstanding the business-to-business framing of these Terms.

23. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above and, where material, notify you through the Service or by email at least thirty (30) days before the change takes effect. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not accept a change, you may cancel your Subscription before it takes effect.

24. Miscellaneous

Entire Agreement: These Terms, together with the Privacy Policy, Refund and Cancellation Policy, and Data Processing Agreement, constitute the entire agreement between you and Suppliq regarding the Service.

Severability: If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

No Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, on notice to you.
